3. Acceptable Use Policy

5. Content Ownership

All content, features, and functionality on the services, including but not limited to text, graphics, logos, and software, are the exclusive property of Guildite or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the services for your personal or internal business purposes. This license does not include any resale or commercial use of the services or its contents; any collection and use of any product listings, descriptions, or prices; or any derivative use of the services or its contents.

Any unauthorized use of the services or its contents will terminate the permission or license granted by Guildite.

6. User-Generated Content

Users may have the opportunity to submit, post, or otherwise make available content through the services ("User-Generated Content"). You retain ownership of any intellectual property rights that you hold in your User-Generated Content. However, by submitting User-Generated Content, you grant Guildite a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, publish, and distribute such content in any media.

You are solely responsible for your User-Generated Content and the consequences of submitting it. Guildite does not endorse any User-Generated Content and disclaims any liability for any loss or damage resulting from your submission of such content.

We reserve the right to monitor, review, and remove any User-Generated Content at our sole discretion, without notice, for any reason, including if we believe that such content violates these Terms or is otherwise objectionable.

7. Payment Terms

Access to certain features of the services may require payment of fees. By subscribing to our services, you agree to pay all applicable fees as outlined on our website. All fees are non-refundable unless otherwise stated in these Terms.

Payment will be processed through a third-party payment processor. You agree to provide accurate and complete payment information and authorize Guildite to charge your payment method for the fees incurred. You are responsible for any fees associated with your payment method, including any overdraft or insufficient funds fees.

Guildite reserves the right to change its pricing and billing practices at any time. We will provide notice of any changes to our pricing or billing practices through the services or via email.

8. Service Modifications

Guildite reserves the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. You agree that Guildite will not be liable to you or to any third party for any modification, suspension, or discontinuation of the services.

We may also impose limits on certain features and services or restrict your access to parts or all of the services without notice or liability. Any new features or tools that are added to the current services shall also be subject to these Terms.

It is your responsibility to review these Terms periodically for updates. Your continued use of the services after any modifications constitutes your acceptance of the revised Terms.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Guildite, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of, or inability to access or use, the services;
Any conduct or content of any third party on the services;
Any content obtained from the services; and
Unauthorized access, use, or alteration of your transmissions or content.

In no event shall Guildite’s total liability to you for all claims arising out of or relating to these Terms or your use of the services exceed the amount paid by you, if any, for accessing the services during the twelve (12) months preceding the claim.

10. Termination

These Terms are effective until terminated by either you or Guildite. You may terminate these Terms at any time by discontinuing your use of the services and deleting your account. Guildite may terminate these Terms and your access to the services at any time, without notice, for any reason, including if we believe that you have violated these Terms.

Upon termination, your right to use the services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, you must cease all use of the services and destroy any copies of the services in your possession.
